1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and Nexus City TV (“Nexus City TV”, “NCTV”, “Platform”, “we”, “us”, “our”).
These Terms govern all access and use of:
- The Nexus City TV website and applications
- Video hosting services
- Livestreaming services
- Radio/audio streaming services
- Messaging and interaction systems
- Monetisation systems
- Creator tools
- Online marketplace / shop system
- Payment processing integrations
- Any future features added to the Platform
By registering, accessing, uploading content, selling products, streaming, or interacting with the Platform, you confirm that you have read, understood, and irrevocably agree to these Terms. If you do not agree, you must immediately stop using the Platform.
2. Platform Nature & Legal Position
Nexus City TV is strictly a technology infrastructure provider and neutral hosting intermediary.
We provide:
- Digital hosting infrastructure
- Streaming delivery systems
- Marketplace software tools
- Payment gateway integrations
- Content distribution tools
We do NOT:
- Act as a publisher of user content
- Verify accuracy of user content
- Endorse user opinions, products, or services
- Guarantee transactions between users
- Guarantee delivery of goods or services
- Act as agent, broker, retailer, or reseller
All content, products, services, and transactions are conducted independently by users. Users acknowledge that Nexus City TV is NOT a party to transactions between users.
3. Eligibility & Legal Capacity
3.1 Age Restriction (Strict Enforcement)
Users must be 18 years or older to: create an account, upload content, livestream, create or manage a channel, open or operate a store, sell products, receive payments, or participate in monetisation. Any misrepresentation of age constitutes a material breach of these Terms and may result in immediate termination and legal reporting where necessary.
3.2 Legal Capacity
You confirm that you are legally capable of entering binding agreements under South African law, you are not prohibited by law from using digital commerce or media platforms, and you are not acting on behalf of a prohibited or unauthorised entity.
3.3 Insolvency / Sequestration Restriction (Stores Only)
Users who are sequestrated, under insolvency proceedings, or declared bankrupt may NOT operate a store unless explicit written approval is granted by Nexus City TV. We reserve the right to request financial verification, require proof of solvency, and suspend or revoke store access at any time. Misrepresentation of financial status is considered fraud.
4. Account Responsibility & Security
Users are solely responsible for all actions performed under their account, securing login credentials, preventing unauthorised access, and ensuring all uploaded content and activity complies with law. Accounts are non-transferable and shared accounts are prohibited. Nexus City TV is not liable for account hacking, misuse, or unauthorised access.
5. User Content Licensing & Responsibility
5.1 Ownership
Users retain full ownership of their content.
5.2 Platform Licence
By uploading content, you grant Nexus City TV a worldwide, perpetual (for hosted content), royalty-free, transferable, sublicensable, non-exclusive licence to host and store content, distribute content across systems, display and stream content, promote content on and off Platform, monetise content where applicable, and reformat content technically for delivery.
5.3 User Warranties
Users guarantee they own or legally control all rights, there is no infringement of copyright, trademark, or privacy rights, content complies with law, and there is no defamatory, illegal, or harmful material.
6. Platform Liability Exclusion (Core Clause)
Nexus City TV has no editorial control over user-generated content, including videos, livestreams, radio streams, product listings, advertisements, and comments. We do NOT monitor content in real-time, guarantee correctness or legality, or vet or approve uploads.
Therefore, Nexus City TV shall not be held liable for defamation, copyright infringement, false claims, harmful content, illegal activity by users, or financial loss caused by users. All responsibility rests with the user who created or uploaded the content.
7. Community Guidelines
7.1 Illegal Conduct
Including but not limited to fraud and scams, identity theft, terrorism-related content, criminal coordination, money laundering, and illegal goods distribution.
7.2 Harmful Behaviour
Harassment or stalking, hate speech or discrimination, threats of violence, coordinated abuse, defamation campaigns.
7.3 Intellectual Property Violations
Pirated films or series, unlicensed music streaming, sports broadcast piracy, copyright re-uploads.
7.4 Platform Manipulation
Fake followers or engagement, bots or automation tools, artificial traffic inflation, spam distribution, malware or phishing links.
7.5 Marketplace Abuse
Selling counterfeit goods, misleading product descriptions, non-delivery scams, fraudulent transactions, chargeback manipulation.
8. Online Marketplace / Shop System
8.1 Store Access Eligibility
Users may only access the shop system if they have at least 2,000 followers on their channel. This threshold may be changed at any time without prior notice or justification.
8.2 Product Listing Limits
Approved sellers may list a maximum of 10 products per store. Nexus City TV may change limits, restrict categories, or remove listings at any time without notice.
8.3 Platform Commission
Nexus City TV charges 1% commission per completed transaction (cart/checkout/payment). This is automatically deducted. We reserve the right to modify commission rates, introduce additional fees, or change billing structures.
8.4 Seller Legal Responsibility
Sellers are exclusively responsible for product compliance (legality of goods, safety compliance, intellectual property rights, product authenticity); commercial obligations (pricing accuracy, stock availability, fulfilment capability, customer communication); delivery obligations (timely delivery of goods, shipping arrangements, tracking and proof of delivery, handling lost or damaged goods); and financial obligations (taxes, VAT or SARS obligations, refund liabilities, chargebacks).
8.5 Delivery & Risk Transfer
Once a buyer places an order, the seller assumes full responsibility for delivery and risk of loss transfers to the seller immediately upon sale confirmation. Nexus City TV has no custody of goods and is NOT a courier, logistics provider, or warehouse operator.
8.6 Refunds & Disputes (Critical Disclaimer)
Nexus City TV does NOT issue refunds, mediate payments, or guarantee buyer protection. All disputes must be resolved directly between buyer and seller. Nexus City TV has no financial liability for non-delivery, fake products, poor quality goods, seller fraud, or disputed payments.
8.7 Store Fraud & Enforcement
Any user found engaging in scam activity, fake stores, non-delivery fraud, counterfeit sales, or misleading listings will face immediate store removal, permanent account suspension, forfeiture of earnings, and possible reporting to law enforcement. No warnings are required prior to enforcement.
9. Livestreaming & Radio Broadcasting
Users are fully responsible for broadcast rights, music licensing, content legality, and guest conduct. We may cut streams instantly, remove broadcasts, or suspend accounts without notice or liability.
10. Copyright Policy
Nexus City TV operates a notice-and-action system. We may remove infringing content, disable repeat offenders, suspend monetisation, and share data with rights holders where required. Users are fully liable for copyright breaches.
11. Platform Enforcement Rights
Nexus City TV reserves absolute discretion to remove any content, remove any store or product, restrict visibility, suspend monetisation, suspend or permanently ban accounts, and block access to any feature. These actions may occur with or without notice, with or without explanation, and without liability.
12. Monetisation Terms
We may approve or reject monetisation, reverse payments, withhold earnings for investigation, or change eligibility requirements. No guarantee of income exists. Users are responsible for all tax compliance.
13. Indemnity & Hold Harmless
Users agree to fully indemnify Nexus City TV against all claims arising from user content, marketplace transactions, livestreams, radio streams, fraud or scams, product disputes, legal violations, and copyright infringement. Users accept full personal liability.
14. Limitation of Liability
To the maximum extent allowed by law, Nexus City TV is NOT liable for financial loss, lost profits, business interruption, fraudulent sellers, non-delivery of goods, account termination, data loss, or platform downtime.
15. No Warranties
The Platform is provided “AS IS” without warranties of any kind, including merchantability, fitness for purpose, security, reliability, or transaction success.
16. Dispute Resolution
All disputes must follow good faith negotiation, mandatory mediation in South Africa, and arbitration or court only after mediation fails. Class actions are prohibited.
17. Termination
We may terminate users immediately for fraud, abuse, store scams, illegal activity, or policy violations. Termination includes account deletion, store removal, loss of earnings, and permanent ban.
18. Amendments
Nexus City TV may update these Terms at any time, without notice, without consent. Continued use constitutes acceptance.
19. Governing Law
South African law governs these Terms.

By using Nexus City TV, you confirm: you are 18+, you accept full responsibility for all activity, you understand you can be banned without notice, you understand Nexus City TV is not responsible for user content or marketplace transactions, and you accept full financial and legal risk of using the Platform.
